These Terms of Service (“Terms”) govern your access to and use of ModelSide’s websites, AI tools, demos, and messaging services.
By using any ModelSide product, you agree to these Terms.

1. Services

ModelSide provides AI-based applications and demos designed for professional use (e.g., document analysis, scribing, data automation).
Services may be offered:

As on-premise/local installations on customer hardware.

As cloud-hosted or demo environments.

Via SMS or chat for testing conversational AI features.

2. Eligibility

You must be at least 18 years old and authorized to enter into contracts on behalf of yourself or your organization.

3. Acceptable Use

You agree not to:

Use ModelSide software or services for unlawful, harmful, or deceptive purposes.

Upload or process data you are not authorized to share.

Attempt to reverse engineer or interfere with our systems.

Send unsolicited or spam messages using any ModelSide number.

Violation of these rules may result in suspension or termination of access.

4. User Content

You retain ownership of any data or content you upload or process.
By submitting content, you grant ModelSide a limited license to process and display it solely to provide the requested service.

For on-premise deployments, content remains fully under your control and is never transmitted to ModelSide servers.

5. SMS Messaging

By providing your phone number and consenting to SMS communications:

You authorize ModelSide to send automated messages related to demos, support, or account notifications.

Message frequency: occasional (≤4/month).

Msg & data rates may apply.

Reply STOP to cancel, or HELP for help.

Opting out stops all future messages except legally required notices.

All messaging activity complies with carrier and Twilio policies.

6. Intellectual Property

All ModelSide branding, logos, software, and related materials are owned by ModelSide.
You may not copy, distribute, or modify them without written permission.

7. Disclaimers

ModelSide products are provided “as is” without warranty of any kind.
We make no guarantees of uninterrupted service, accuracy, or fitness for a particular purpose.
For demo environments, data may be deleted or reset at any time.

8. Limitation of Liability

To the fullest extent permitted by law, ModelSide shall not be liable for indirect, incidental, or consequential damages arising from use of our products or communications.

9. Indemnification

You agree to indemnify and hold harmless ModelSide from any claims, damages, or expenses arising from your misuse of our services or violation of these Terms.

10. Termination

We may suspend or terminate access at any time for misuse, legal reasons, or technical necessity.
You may stop using our services at any time by notifying us or discontinuing access.

11. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.
Disputes shall be resolved in the courts located in New York County, NY.
